Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PosNets platform, website, and related services (collectively, the "Platform"). The Platform provides cloud-based point-of-sale (POS), inventory, sales, purchases, reporting, and business management tools.
By creating an account, accessing, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Definitions
- "Company," "we," "us," "our" means PosNets.
- "Customer," "you," "your" means the business entity or individual using the Platform.
- "User" means anyone authorized by you to access the Platform under your account.
- "Content" means data, records, text, documents, images, and other information uploaded to the Platform by you or your Users.
2. Eligibility and Authority
You must be at least 18 years old and have authority to bind the business you represent. If you are using the Platform on behalf of a business, you confirm that you have the authority to accept these Terms on its behalf.
3. Account Registration and Security
You must provide accurate, current, and complete information. You are responsible for all activity under your account, maintaining the confidentiality of credentials, assigning and managing user roles and permissions, and notifying us promptly of any unauthorized access. We are not liable for losses caused by unauthorized use of your account.
4. Scope of Service
The Platform provides software tools for POS operations, inventory management, purchasing, sales, analytics, reporting, and related business workflows. Features may vary by plan and may be updated, added, or removed over time.
5. Free Trials and Demo Plans
We may offer free plans or trials to help you evaluate the Platform. Free plans may have limited features, data retention, or usage caps and may change or end at any time.
6. Subscriptions, Billing, and Taxes
- Plans and Pricing: Subscription plans and pricing are listed on our pricing page and may change with notice.
- Billing Cycle: Subscriptions are billed monthly or annually, as selected.
- Automatic Renewal: Subscriptions renew automatically unless canceled before the end of the current billing period.
- Taxes: You are responsible for any taxes, duties, or government charges related to your subscription.
7. Payment Processing (Stripe & PayPal)
We use third-party payment processors, including Stripe and PayPal, to handle payments. Payment details (such as card numbers or bank account information) are collected, processed, and stored by Stripe or PayPal, not by us. 8. No Refund Policy
We do not provide refunds. We offer free plans or trial access so you can evaluate the service before paying. By subscribing, you acknowledge and accept this no-refund policy.
9. Chargebacks
You agree not to file chargebacks for legitimate charges. If a chargeback is filed and determined to be valid, we may suspend access and require payment of any fees or costs incurred.
10. Customer Data Ownership and License
You retain ownership of your Content. You grant us a limited, non-exclusive license to host, store, transmit, and process your Content solely to provide and improve the Platform and support your use of it.
11. Data Retention and Deletion
- After cancellation, we retain your data for 30 days by default to allow export or reactivation.
- You may request immediate deletion at any time.
- If you delete your account or request deletion, all associated data is permanently removed and cannot be recovered.
- If you later register again, you start with a new account and no prior data.
12. Data Export
You may export your data using available Platform tools during your subscription and within the retention period after cancellation.
13. Acceptable Use
You agree not to misuse the Platform, upload or store unlawful or harmful content, disrupt or interfere with the Platform or its security, reverse engineer or attempt to access source code, or use the Platform to violate laws or regulations. We may suspend or terminate accounts for violations.
14. Third-Party Services
The Platform may integrate with or link to third-party services (including payment providers, SMS, email, analytics). Your use of those services is governed by their terms, and we are not responsible for their performance.
15. Analytics (Google Analytics 4)
We use Google Analytics 4 to understand usage patterns and improve the Platform. Google processes certain usage data under its own privacy policies. Learn more at:

16. Support and Maintenance
We provide reasonable technical support according to our support channels and availability. We may schedule maintenance or emergency updates that temporarily affect availability.
17. Service Availability
We strive for reliable service but do not provide a guaranteed uptime or SLA unless explicitly stated in a written agreement.
18. Intellectual Property
All Platform software, designs, trademarks, and content are owned by or licensed to the Company. You may not use our branding or intellectual property without written permission.
19. Confidentiality
Both parties may receive confidential information. Each party agrees to protect the other party's confidential information and use it only for the purpose of performing obligations under these Terms.
20. Disclaimer of Warranties
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
21. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or lost profits, data, or goodwill. Our total liability for any claims related to the Platform will not exceed the amount you paid to us in the three months before the event giving rise to the claim.
22. Indemnification
You agree to indemnify and hold us harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your Content, or your violation of these Terms or applicable law.
23. Suspension and Termination
We may suspend or terminate your access for non-payment, violation of these Terms, or security risks or legal compliance obligations. You may cancel anytime. Termination does not relieve you of payment obligations accrued before cancellation.
24. Changes to the Platform or Terms
We may update the Platform or these Terms from time to time. We will provide notice of material changes. Continued use after changes take effect means you accept the updated Terms.
25. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules. You agree that any legal action will be brought exclusively in the state or federal courts located in Wyoming, USA.
